Lab Thread: Terms of Service

1. General Overview and Agreement

1.1 Binding Agreement

These Terms of Service (“Terms”) constitute a legally binding agreement between Lab Thread Ltd, a company incorporated in England and Wales (“Lab Thread”, “we”, “us” or “our”), and the legal entity subscribing to or accessing the Lab Thread platform (“Customer”, “you” or “your”).

These Terms govern access to and use of:

  • labthread.com
  • app.labthread.com
  • associated subdomains
  • all related software, services, features and content (collectively, the “Service”).

These Terms form the contractual framework referenced in Section 1.5 of our Privacy Policy.

1.2 Professional and Commercial Use

The Service is designed exclusively for professional scientific, laboratory, academic, biotechnology and commercial research use.

You warrant that:

a) you are entering into this agreement in a business capacity;
b) you are not acting as a consumer; and
c) you have authority to bind the Customer entity.

To the fullest extent permitted by law, consumer protection legislation shall not apply.

1.3 Incorporation of Privacy Policy and DPA

The following documents form part of this Agreement:

a) The Privacy Policy (see Sections 1–13 thereof);
b) Any executed Order Form;
c) Any Data Processing Agreement (DPA) executed between the parties;
d) Any agreed Service Level Agreement (SLA), where applicable.

In the event of conflict, the Order Form shall prevail, followed by the DPA, then these Terms.

1.4 Amendments

We may amend these Terms upon reasonable notice. Continued use of the Service following notice constitutes acceptance of the amended Terms.

2. Licence Grant and Intellectual Property

2.1 Licence

Subject to payment of applicable fees and compliance with this Agreement, Lab Thread grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right during the Subscription Term to access and use the Service solely for internal research and business purposes.

No ownership rights are transferred.

2.2 Restrictions

Customer shall not, and shall not permit any third party to:

a) reverse engineer, decompile or disassemble the Service;
b) create derivative works;
c) use the Service to develop a competing product;
d) remove proprietary notices;
e) circumvent access controls;
f) access the Service for benchmarking or competitive analysis without consent.

2.3 Ownership

All intellectual property rights in the Service, including software code, databases, interface design, trademarks and documentation, remain the exclusive property of Lab Thread.

Customer retains ownership of Research Data pursuant to Section 3 of the Privacy Policy.

3. Research Data and Regulatory Position

3.1 Customer Data

“Research Data” shall have the meaning set out in Section 3 of the Privacy Policy and includes, without limitation, laboratory records, scientific data, metadata, attachments, audit logs, experimental documentation and associated content uploaded or generated within the Service.

Customer retains all right, title and interest in and to Research Data.

3.2 Licence to Process

Customer grants to Lab Thread a limited, non-exclusive, worldwide licence during the Subscription Term to host, store, reproduce, transmit, back up, display and otherwise process Research Data solely to the extent necessary to provide and maintain the Service in accordance with this Agreement.

3.3 Regulatory Compliance Responsibility

Customer acknowledges and agrees that it is solely responsible for determining whether the Service is suitable for its regulatory, scientific, clinical, institutional or commercial requirements.

Without limitation, Customer shall be solely responsible for ensuring that its use of the Service complies with all applicable laws, regulations, regulatory frameworks, industry standards and institutional policies, including (where applicable):

a) Good Laboratory Practice (GLP);
b) Good Manufacturing Practice (GMP);
c) 21 CFR Part 11 and related electronic records requirements;
d) HIPAA and other health information regulations;
e) Institutional Review Board (IRB) or ethics committee requirements;
f) Export control and sanctions laws;
g) Biosafety and laboratory accreditation standards.

Lab Thread shall have no responsibility for Customer’s compliance obligations except as expressly set out in a written agreement executed by authorised representatives of both parties.

3.4 No Clinical or Diagnostic Use

Unless expressly agreed in writing, the Service is not certified as a medical device and is not intended for:

a) clinical diagnostic use;
b) patient treatment decisions;
c) direct therapeutic applications; or
d) regulated medical device workflows.

Customer acknowledges that it must independently validate the Service for any regulated use case.

3.5 Compliance Assistance Features 

3.5.1 From time to time, Lab Thread may provide certain features, configurations, documentation, templates, validation support materials or system functionalities that are designed to assist Customers in implementing workflows aligned with particular regulatory requirements, standards or guidelines, including but not limited to 21 CFR Part 11, GLP or similar frameworks (the “Compliance Assistance Features”).

3.5.2 Customer acknowledges and agrees that regulatory compliance is inherently a multi-faceted undertaking that depends upon numerous factors outside the control of Lab Thread, including but not limited to:

a) Customer’s internal policies and standard operating procedures;
b) governance structures and delegation of responsibilities;
c) staff training and user conduct;
d) hardware configuration and instrumentation;
e) validation protocols;
f) data integrity practices;
g) security configurations;
h) environmental and operational controls.

3.5.3 Accordingly, Customer expressly agrees that:

a) the provision of Compliance Assistance Features does not constitute legal, regulatory or professional advice;
b) such features are provided as tools to support Customer’s own compliance framework;
c) no representation or warranty is made that use of the Service, whether configured or validated by Customer, will result in compliance with any specific law, regulation, accreditation requirement or audit standard.

3.5.4 Customer remains solely responsible for:

a) conducting its own validation activities;
b) maintaining required documentation;
c) implementing procedural controls;
d) ensuring appropriate role-based access and audit oversight;
e) responding to regulatory inspections or audits.

3.5.5 Lab Thread shall not be liable for any regulatory findings, penalties, enforcement actions, or compliance failures arising from Customer’s use of the Service.

4. Fees and Subscription Terms

4.1 Subscription Model

Access is provided on a subscription basis.

Subscriptions renew automatically unless terminated prior to renewal.

4.2 Payment Processing

Payments are processed via Stripe or other authorised providers. Customer authorises recurring charges where applicable.

4.3 Taxes

All fees are exclusive of VAT and other applicable taxes.

4.4 Suspension for Non-Payment

We may suspend access where fees remain unpaid for 30 days following written notice.

5. Confidentiality

5.1 Confidential Information

“Confidential Information” includes:

a) Research Data;
b) technical documentation;
c) commercial information;
d) non-public security information.

5.2 Obligations

Each party shall:

a) protect Confidential Information using no less than reasonable care;
b) use it solely for purposes of this Agreement;
c) restrict disclosure to authorised personnel.

6. Data Protection, Security and Enterprise Controls

6.1 Data Protection Framework

Processing of Personal Data shall be governed by:

a) Section 3 of the Privacy Policy (Processor Role);
b) Section 6 of the Privacy Policy (Retention and International Transfers);
c) any executed Data Processing Agreement (DPA).

Where Lab Thread acts as a Data Processor, it shall process Personal Data solely in accordance with documented instructions from the Customer.

6.2 Security Measures

Lab Thread shall implement and maintain technical and organisational measures appropriate to the nature of the Service and consistent with Section 8 of the Privacy Policy.

Such measures shall be designed to:

a) ensure confidentiality, integrity and availability of data;
b) protect against unauthorised access or unlawful processing;
c) mitigate accidental loss, destruction or damage.

6.3 Audit Rights 

Where Customer is subject to statutory, regulatory or accreditation-based vendor oversight obligations, Customer may, upon reasonable written notice and no more than once in any twelve (12) month period:

a) request copies of relevant security certifications or audit summaries (where available);
b) review independent third-party security assessments;
c) conduct a remote documentation review relating to security and data protection controls.

Any on-site audit shall:

(i) be subject to mutual agreement;
(ii) be conducted during normal business hours;
(iii) not unreasonably interfere with operations;
(iv) be subject to confidentiality obligations.

6.4 Data Residency 

Where expressly agreed in an Order Form, Lab Thread shall use commercially reasonable efforts to host Customer Research Data within the specified geographic region.

Absent such written agreement, Customer acknowledges that data may be processed in accordance with Section 6.3 of the Privacy Policy.

6.5 Insurance

Lab Thread shall maintain, during the Subscription Term, insurance coverage appropriate for a SaaS provider operating within the life sciences sector, including:

a) professional indemnity insurance;
b) cyber liability and data breach coverage;
c) public liability insurance.

Such coverage shall be maintained at commercially reasonable limits. Evidence of insurance shall be provided upon reasonable written request.

7. Acceptable Use

Customer shall not use the Service:

a) in violation of applicable laws;
b) to transmit malicious code;
c) to infringe third-party rights;
d) to conduct unauthorised penetration testing;
e) to exceed subscription limits.

We may suspend access where necessary to preserve security or compliance.

8. Support, Service Levels and Beta Features

8.1 Support

Support is provided in accordance with the applicable subscription Plan.

No uptime commitment applies unless specified in a separate SLA.

8.2 Beta Features

Beta or preview features are provided “as-is” and may be discontinued without liability.

9. Term and Termination

9.1 Web Subscription Term and Renewal 

The Agreement begins on the date you complete the online registration and remains in effect for the duration of the subscription period selected during checkout (e.g., monthly or annually). Subscriptions will renew automatically at the end of each period unless you cancel your subscription through your account dashboard or notify us in writing.

9.2 Cancellation and Termination for Convenience

а) Self-Service Cancellation: You may cancel your subscription at any time via the billing section of the Service.

b) Notice Period: For Paid Plans, termination is effective at the end of the current billing cycle.

c) Free/Trial Plans: We reserve the right to terminate or suspend free access immediately and without notice for any reason, including inactivity or a breach of the Acceptable Use Policy.

9.3 Termination for Cause

Lab Thread may terminate this Agreement and your access to the Service immediately and without notice if:


a) You fail to pay any fees within thirty (30) days of the due date .

b) You or your Users commit a material breach of these Terms, including a violation of the Acceptable Use Policy.

9.4 Research Data Export and Retention Period

a) The Termination Period: Upon cancellation of a paid subscription, a "Termination Period" of up to thirty (30) days will apply, provided that the termination was not for cause.

b) User Responsibility for Export: During this window, the platform remains accessible solely to allow you to download and export your Research Data. You acknowledge that Lab Thread is a self-service platform; it is your sole responsibility to ensure all data is exported before the end of the Termination Period.

c) Permanent Deletion: Once the Termination Period expires or the account is closed, all access to the Workspace and Research Data is permanently revoked. We will delete or depersonalize your data from our active systems within sixty (60) days, and we are not liable for any data loss that occurs after this timeframe.

9.5 Effects of Termination

a) No Refunds: Payments are non-refundable, and no credits or refunds will be issued for partially used subscription periods.

b) Account Status: While the Workspace and its Research Data are deleted, your individual User Account may be retained to allow for participation in other Workspaces to which you may be invited.

c) Survival: Provisions regarding Intellectual Property, Confidentiality, Research Data Ownership, Liability, and Governing Law shall survive termination.

10. Warranties and Disclaimers

10.1 Limited Warranty

Lab Thread warrants that it will provide the Service with reasonable skill and care.

10.2 Disclaimer


THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of Liability

11.1 Financial Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY CUSTOMER FOR THE SERVICE DURING THE 12 MONTHS PRECEDING THE CLAIM.

11.2 Excluded Losses

Neither party shall be liable for:

a) indirect loss;
b) loss of profit;
c) loss of data (except arising from breach of data protection obligations);
d) business interruption.

Nothing excludes liability for fraud, death or personal injury caused by negligence.

12. Indemnification

Customer shall indemnify Lab Thread against claims arising from:

a) Research Data;
b) regulatory non-compliance;
c) intellectual property infringement caused by Customer content.

13. Force Majeure

Lab Thread shall not be liable for any delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, strikes, or failures of third-party hosting/utility providers.

14. Export Control

Customer shall comply with applicable export and sanctions laws and shall not permit access from prohibited jurisdictions.

15. Assignment and Subcontracting

Lab Thread may assign this Agreement in connection with corporate restructuring. Customer may not assign without consent.

16. Publicity

Unless otherwise agreed, Lab Thread may identify Customer as a client in marketing materials. Customer may opt out in writing.

17. Governing Law and Jurisdiction

This Agreement is governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction, unless arbitration is agreed in an Order Form.

18. Survival

Clauses relating to confidentiality, intellectual property, indemnities, liability, data protection and governing law survive termination.

19. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes prior discussions.
